Illuminate XR Contributor Agreement
Effective Date: May 29th 2025

This Contributor Agreement ("Agreement") is made between you ("Contributor") and Illuminate XR ("Company", "we", "our", or "us"). By submitting any content, materials, code, media, or other contributions ("Contribution(s)") to Illuminate XR, you agree to the terms outlined below.

1. Scope of Agreement

This Agreement applies to all contributions made by the Contributor to Illuminate XR, including but not limited to:

  • Educational content (text, presentations, curricula, etc.)

  • Multimedia (images, video, 3D models, animations)

  • Code and software (scripts, XR environments, integrations)

  • Design elements and branding assets

  • Course materials for K–12, Business, or Medical sectors

2. Ownership and Licensing

a. Retained Ownership

You retain copyright and ownership of your original contributions.

b. License to Illuminate XR

By submitting a Contribution, you grant Illuminate XR a worldwide, royalty-free, non-exclusive, perpetual, irrevocable license to:

  • Use, reproduce, modify, display, distribute, and sublicense the Contribution as part of the platform’s services

  • Integrate Contributions into AR/XR experiences, courses, or commercial products

This license includes use for commercial, promotional, educational, or training purposes, unless explicitly agreed otherwise in writing.

3. Contributor Representations

You represent and warrant that:

  • You own or have the right to license the Contribution

  • The Contribution does not infringe upon any third-party intellectual property rights

  • The Contribution does not contain confidential, proprietary, or unlawful content

  • If applicable, your employer or institution has authorized you to make the Contribution under these terms

4. Attribution

We will provide reasonable attribution for your Contribution where feasible, unless you request anonymity. Attribution may include your name, role, and organization (if applicable).

5. No Compensation

Unless otherwise agreed in a separate written agreement, you acknowledge that your contribution is voluntary and you are not entitled to financial compensation, royalties, or ownership interest in any products or services incorporating your work.

6. Right to Modify or Remove

Illuminate XR reserves the right to modify, adapt, or remove any Contribution at its discretion to ensure it aligns with platform standards, technical requirements, and educational goals.

7. Confidentiality

If, during the course of your contribution, you gain access to any confidential information related to Illuminate XR, its operations, or its partners, you agree not to disclose or use that information for any purpose outside of this Agreement.

8. Termination

Either party may terminate this Agreement in writing. Upon termination:

  • Contributions already integrated into published or distributed materials will remain under license

  • Future use of the Contributor’s work may be discontinued, unless required for platform continuity

9. Governing Law

This Agreement is governed by the laws of the state of Delaware, without regard to conflict of laws principles.

10. Entire Agreement

This Agreement constitutes the entire agreement between the parties concerning Contributions and supersedes all prior discussions or understandings unless modified by a signed, written amendment.

By submitting a Contribution to Illuminate XR, you acknowledge that you have read, understood, and agree to be bound by the terms of this Contributor Agreement.
